Norik G. Naraghi

Norik Naraghi advises owners of closely held and privately owned businesses on governance and strategic decision-making in evolving legal and regulatory environments.

Her practice focuses on real estate, agriculture, and family-owned businesses operating in regulated and often contested settings, where legal decisions directly affect operations, assets, and long-term value.

She began her career handling transactional and real estate matters before spending several years in-house with real estate development and agricultural operations. That experience gives her a practical understanding of how business owners make decisions and the day-to-day realities they face when legal, financial, and operational considerations intersect. Drawing on that background, Norik helps clients identify issues early, assess risk realistically, and chart a clear path forward when matters become complex or uncertain.

Norik also works closely with owners navigating complex, high-stakes disputes affecting closely held businesses. She regularly collaborates with litigation counsel before and during active litigation, helping clients evaluate strategy, manage risk, and make informed decisions as disputes unfold, with a focus on protecting the business and supporting sound decision-making by its owners and leadership.

  • Serves as outside general counsel to select closely and privately held businesses, including agricultural processors, advising owners on governance, regulatory compliance, risk management, and dispute-related issues, with a focus on practical, business-driven solutions.
  • Advises food manufacturers, processors, and agricultural businesses on regulatory compliance and disputes, including FDA labeling review, Proposition 65 compliance, and USDA contract disputes, as well as agricultural contract and payment matters.
  • Represents clients in commercial and development real estate transactions, including negotiating purchase and sale agreements and supporting strategic decision-making for significant real estate assets.
  • Advises clients on municipal impact fees, development exactions, and Community Facilities District (CFD) assessments, including evaluating the legal basis for proposed charges, negotiating with public agencies, and addressing inequitable assessment methodologies.

Outside of the office, Norik enjoys staying active, traveling, and spending time with her two dogs. She values community involvement and making time for interests that keep her grounded outside of work.
