ExperienceDrafts and negotiates letters of intent, purchase and sale agreements, and option agreements on behalf of buyers and sellers for land acquisitions/sales and all forms of commercial, agricultural, and industrial property. Drafts and negotiates retail, office, agricultural, residential, and industrial leases on behalf of developers, owners, and tenants. Drafts and negotiates real property workouts, manages non-judicial foreclosures and negotiates and documents workouts of landlord/tenant disputes. Manages real estate matters for renewable energy clients. Drafts and negotiates development agreements, CC&Rs, reciprocal easement agreements, and custom agreements designed to facilitate development or meet mitigation requirements. Performs thorough and comprehensive title work and actively works with and negotiates with title companies, including in the context of land acquisitions and sales, leasing, and oil and gas title opinions. Has successfully managed all aspects of the closing of numerous multimillion dollar acquisitions, including in the context of acquisitions of commercial, industrial, agricultural, condominium, and multifamily properties. Drafts and negotiates all manner of simple and complex easement agreements. Advises clients on leasing and property management issues. Drafts and negotiates tenant estoppel certificates, property management agreements, listing agreements, and rent or term reduction agreements. Drafts and negotiates deeds of trust and promissory notes, with an emphasis on seller carry back financing. Extensive experience with real estate leasing, purchase and sale, and easement agreements for mining uses.
