Winnie Ward, past chair of Downey Brand's Real Estate practice, has represented real estate clients in all facets of the real estate industry, from national real estate investment trusts to local commercial developers. She specializes in leasing transactions, and she has drafted and negotiated literally thousands of lease documents, ranging from small retail tenants to single-tenant office buildings in excess of 90,000 square feet. She not only works with landlords, but also represents several national tenants in lease negotiations throughout the United States. She also represents buyers and sellers of commercial real estate.

Representative clients include Equity Office Properties, for whom she handled several hundred office lease transactions from 1999-2004. In Sacramento, she has represented Bluemont Properties (formerly Catlin Properties), B&Z Properties, Buzz Oates Enterprises, Fremont Building Partners, Heller Properties, Hines, and Jackson Properties in the leasing of office, retail and mixed-use properties, as well as Harsch Investment Properties in its industrial sites. In addition to representing Equity Office Properties while practicing in San Francisco, she also represented Shorenstein Properties, Transamerica Corporation, and Wareham Properties. Tenant clients include Health Net, who she has represented on hundreds of transactions nationwide, and Kaplan Real Estate, who she has represented in dozens of transactions throughout the Western United States.

  • 81,000 square foot office lease with Citibank
  • 92,000 square foot office lease for Ameriquest Mortgage
  • Dozens of “fast track” lease documents for major national tenants on behalf of Equity Office Properties

  • Form lease agreement for retail condominium project in South Lake Tahoe, California

  • Mixed-use lease agreements for several commercial buildings in mid-town Sacramento

Winnie Ward currently serves as a Director at Large on the board of directors of the Association of Commercial Real Estate, a Sacramento-based commercial real estate trade organization with over 330 members. In 2009, she was committee chairperson for the Broker of the Year Awards, an awards ceremony attended by over 600 people recognizing the most successful commercial real estate brokers. She regularly writes article for “Legal Tips” in the ACRE Newsletter. Winnie is also on the Board of Advisors for and a regular contributor to the “Commercial Lease Law Insider,” a national commercial real estate publicatio.

Although Winnie Ward practiced in San Francisco for 6½ years, she was raised in Sacramento. Prior to attending law school, Winnie was a residential loan officer in Sacramento.

EXPERIENCE

Leasing

Represented landlords in negotiation of several hundred lease documents for office and industrial leases of buildings throughout the Western United States ranging from under 10,000 square feet to 92,000 square feet.

Represented major national healthcare tenant and national college test preparation company in leases of up to 80,000 square feet in markets throughout the United States.

Created lease forms for retail, retail condominium, office and mixed-use multi-tenant properties.

Drafted template leases for strategic tenants of major national landlord; tenants included national insurance companies, accounting firms, and business consultants.

Negotiated dozens of communication license agreements for major national landlord with several national telecommunication companies in buildings throughout the country.

Acquisitions and Dispositions

Represented real estate investment trusts, insurance companies, retirement funds, local developers, and other real estate investment entities in purchases and sales of office parks, urban multi-use buildings and retail shopping centers, including negotiating purchase agreements, analyzing due diligence materials and drafting closing documents.

Represented well-known winery in combined inter-company purchase and 1031 Exchange valued at over $16.8 million for various vineyard properties located in California.

Represented buyer in $14.5 million exercise of option to purchase six properties in various California counties.

Represented national waste management company in five separate corporate “swaps” to acquire dozens of parcels of real estate in several states over an 18-month period.
