Marianne E. Murray is a senior associate in the firm's Corporate, Securities and Tax Group where her practice focuses on the representation of corporations, limited liability companies and other business entities in a variety of transactions as well as in matters related to general corporate governance. Marianne has significant experience representing clients in securities offerings, asset sales and acquisitions, mergers, and matters of general business and corporate law.

Marianne's practice includes advising emerging companies with respect to entity formation decisions as well as drafting operational agreements including, operating agreements, buy-sell agreements, private placement memorandums, confidentiality agreements and employment agreements. Marianne also regularly negotiates and drafts a variety of commercial agreements including, vendor, lease, licensing, distribution, independent contractor and master services agreements.

Prior to joining Downey Brand, Marianne worked at Cooley Godward & Kronich LLP in Palo Alto, California, where her practice focused on representing issuers and venture capital investors in the formation and funding of emerging companies as well as advising public companies on their reporting and governance obligations. Marianne currently serves on the Board of Directors of Rebuilding Together Sacramento.

Represented investors and emerging companies in numerous venture capital financings including drafting and reviewing stock purchase and related agreements

Represented buyers and sellers in asset acquisitions and mergers

Performed legal due diligence in connection with mergers and corporate transactions including the review of general corporate and intellectual property documents

Prepared public company reporting documents for several clients including Section 16 filings, annual proxy statements and Forms 8-K, S-8, 10-K and 10-Q

Assisted two companies through the initial public offering process

Assisted numerous private and public companies with general corporate matters including drafting board and stockholder minutes and consents and reviewing day-to-day operating contracts
