| Michael O. Gualco is a Martindale Hubble AV-rated attorney who has limited his practice to real estate matters for more than 27 years. For over seventeen years, he has represented Verizon Wireless, the largest United States wireless telephone company, on real estate matters in its Northern California and Northern Nevada service areas. That representation has related to major expansion activities, including negotiation and preparation of leases for administrative offices, call centers, retail stores, warehouses and more than 2,500 cell sites. Michael has authored cell site lease forms used in wireless telephone markets nationwide. In addition to representing Verizon Wireless, Michael has been involved in major real estate activities in Placer and Sacramento counties. He has prepared and negotiated office leases for major developers, including a 200,000+ square foot office building complex. He has represented a major home builder in transactional real estate matters in the West Roseville Specific Plan Area, and prepared and negotiated purchase and sale agreements and escrow closing documents for owner-occupied office and warehouse buildings, unimproved real property and mixed use developments. Michael has also prepared construction contracts for contractor clients for major office/warehouse facilities. Earlier in his career Michael structured and negotiated joint venture agreements, options, purchase and sale agreements, loan documents, loan modifications, workouts and letters of credit for Sacramento Savings Bank. He participated in the review and analysis of business aspects of transactions, including property valuation, methods of appraisal, and evaluation of real property. Michael contributed to the success of the largest land developments in the Sacramento region including Olympus Pointe (2,000+ acres), Natomas Station, Watt/I-80, and North Natomas--investments that totaled approximately $100 million (1989 valuation). Michael has participated in organizations related to real estate nationally, state wide and in both Sacramento and Placer County. Reviews, negotiates, and prepares construction contracts for contractor clients for major sales/warehouse facilities. Advises and represents national client regarding lease amendments, subleases, subordinations and estoppel certificates for 128,000 square foot office lease in San Ramon, California, and 113,000 square foot office lease in Walnut Creek, California. Managed real estate legal matters for ten individual property owners in major downtown redevelopment area in Sacramento, California. Successfully devised strategy which resulted in Sacramento City Council's decision to implement major change in land use plan benefiting clients. Structured and negotiated joint venture agreements, options, purchase and sale agreements, loan documents, loan modifications, workouts and letters of credit for Sacramento Savings Bank. Participated in review and analysis of business aspects of transactions, including property valuation, methods of appraisal, and evaluation of real property. Contributed to success of largest land developments in Sacramento region including Olympus Pointe (2,000 acres), Natomas Station, Watt/I-80, and North Natomas; investments totaled approximately $100 million. Negotiated land exchange between City of Folsom and Union Pacific Railroad critical to completion of client's large mixed-use commercial development project. Provided legal counsel to Sacramento 's largest land developer in selling 140 acres to Sutter Hospital. Performed all legal services for Palisades Development and its clients; including preparation, review, and negotiation of purchase and sale agreements as well as loan documents. Served as Project Manager for residential subdivision comprising 1,000 acres. Interacted with governmental staff in planning and engineering functions to obtain land use entitlements and development permits.
