Former General Counsel of a major Southern California-based financial institution: Served as chief legal counsel to all bank business units and as Corporate Secretary reporting directly to CEO and Board of Directors. As General Counsel, was responsible for all internal and external bank legal matters as well as corporate governance and securities compliance, including public securities filings and bank regulatory matters before the SEC, OTS and FDIC. Negotiated commercial lending transactions including revolving, asset-based, construction and land loans on behalf of Bank. Represented numerous secured lenders who served as administrative agent to bank syndicates in senior secured credit facilities, including for clients such as Deutsche Bank, Goldman Sachs and Merrill Lynch. Structured numerous commercial real estate transactions for real estate developers and landlords, including joint ventures, acquisitions and dispositions and financings. Represented U.S. and international purchasers of a major hotel/casino, cosmetics manufacturers and software manufacturer. Also formed two professional auto racing teams, and advised partners in acquisition of NBA team. Some other clients include Marcus & Millichap, Roll Corporation, Paramount Farms, City National Bank, UBS, Citibank, Natexis Banques Populaires and Comerica, each of whom were represented in a variety of lending and other commercial transactions. Bankruptcy/Restructuring Represented debtors, official and unofficial committees, secured and unsecured creditors, DIP lenders, lessors and lessees of both real and personal property, and other parties in interest in complex Chapter 11 bankruptcy proceedings. Also have national experience representing defendants in avoidance actions, and professionals with respect to bankruptcy retention and fee related issues. Handled numerous matters related to Chapter 11 cases, including Chapter 11 plan confirmation trials and appeals, and claims allowance litigation. Significant matters include representing co-chairman of the Creditors Committee in the Enron Corp. bankruptcy and Enron's largest unsecured creditor holding over $5 billion in claims, lead debtor's counsel in prepackaged bankruptcy case with over $500 million in unsecured debt and counsel to Trump Hotels & Casino Resorts in connection with its Chapter 11 case. |
