Anna Crivelli’s practice focuses on banking and financial services regulation, with an emphasis on consumer finance and regulatory compliance. She has significant experience in counseling financial institutions regarding federal and state laws and regulations governing consumer financial products and services. 

Commercial real estate developers and investors rely on Anna for advice regarding complex real estate transactions, commercial leasing, and the acquisition and disposition of commercial properties. She is equally adept in the drafting, negotiation and review of various corporate documents and real estate contracts, including leases, purchase and sale agreements, finance documents, easement agreements, subordination/non-disturbance agreements, CC&Rs, indemnity agreements, and other contracts.

Anna also has experience in counseling companies regarding corporate formation, governance and dissolution, and in advising clients on legal issues arising under federal and state tax laws and employee benefits.

Prior to joining Downey Brand, Anna externed for the Honorable Larry R. Hicks of the United States District Court, District of Nevada, and for the United States Department of Labor, Employee Benefits Security Administration.

Experience

  • Counsel financial institutions, including credit unions, in many aspects of federal and state regulation of consumer financial services, including mortgage lending, credit card and consumer lending, private banking and auto finance.
  • Advise financial institutions on matters involving federal and state laws governing consumer financial products and services such as fair lending and fair credit reporting, the Truth-in-Lending Act and Regulation Z, Fair Credit Reporting Act, Fair Debt Collection Practices Act, Equal Credit Opportunity Act, California retail installment sales act, and other federal and California laws and regulations affecting consumer financial services.
  • Assist in representation of companies and individuals in various transactional real estate matters, including representation of a national bank in the financing of wind farms throughout California.
  • Handled the due diligence aspect in negotiations of an $80 million+ financing on behalf of an agricultural borrower.
  • Represented a national telecommunications company in expanding its network of communication sites in California, Nevada and other Western states. 
  • Negotiated and finalized dozens of commercial leases for a national telecommunications company.
  • Draft various real estate contracts, including leases, purchase and sale agreements, finance documents, easement agreements, subordination/non-disturbance agreements, CC&Rs, indemnity agreements, and others.
  • Provide advice and counsel companies and individuals in corporate formation, governance and dissolution and other general corporate matters and on a variety of federal and California income tax issues.
  • Investigated compliance of pension benefit plans (401K, ESOP, and Taft-Hartley) with provisions of ERISA and assisted in prosecution of fiduciary violations.
  • Successfully assisted a non-profit organization in applying for and obtaining recognition of tax exempt 501(c)(3) status.
